Terms and Conditions: Advertising in the Ocean Grove Voice

1. Publication of Advertising

1.1 Subject to these Terms, the Ocean Grove Voice (OGV) will use its reasonable endeavours to publish advertising submitted by Customers (‘Advertising’) in the format submitted by the Customer and in accordance with the placement instructions of the Customer. Please note that advertising includes images submitted for publication.

1.2 The Customer grants OGV a royalty-free, nonexclusive, irrevocable licence to publish the Advertising in any form and in any medium. The Customer warrants that it has the authority to grant OGV said licence.

2. Right to Refuse Advertising

2.1 A binding contract in relation to a request for Advertising will only be formed between OGV and a Customer when OGV accepts the Advertising in writing.

2.2 OGV reserves the right to reject any advertisement that may conflict with the OGV’s position and responsibility in the community it serves.

3. Right to Vary Format and Placement

3.1 Prices for all advertising are based on a black and white rate. It is at the discretion of OGV whether Advertising is to be upgraded to colour at no extra charge. For guaranteed colour or placement, prices will attract a 30% loading.

3.2 OGV reserves the right to vary the position of Advertising within the publication; and change the format of print Advertising (including changing a format from colour to black and white).

3.3 OGV will not be liable for any costs, expenses, losses or damages suffered or incurred by a Customer arising from OGV’s failure to publish Advertising in accordance with a Customer’s request.

4. Submission of Advertising

4.1 The Customer warrants to OGV that the content of the Advertising does not breach or infringe:

a) the Trade Practices Act (Cth), Fair Trading Acts (State) and equivalent legislation;

b) State and Commonwealth antidiscrimination legislation;

c) any copyright, trade mark or obligation of confidentiality;

d) any law of defamation or obscenity;

e) any law of contempt of any court, tribunal or royal commission;

f) the Privacy Act (Cth); and

g) any other law (including but not limited to any common law, statute, delegated legislation, rule and ordinance of the Commonwealth or any State or Territory.

4.2 If, in OGV’s opinion, a Customer submits advertising that looks like editorial material, OGV may publish the advertisement under the heading ‘Advertising’ and with a border distinguishing it from nearby editorial.

4.3 The Customer warrants that in respect of Advertising that contains the name or photographic or pictorial representation of any living person and/or any copy by which any living person can be identified, the Customer has obtained the authority of that person to make use of his/her name or representation or the copy.

4.4 OGV will endeavour to take reasonable care of Advertising material in its custody and control, but will not be responsible for any loss or damage to Advertising material (even if caused by OGV’s negligence).

5. Errors

5.1 A proof is supplied for copy checking purposes only, not revision of content or layout style. One proof of each advertisement will be provided at no change, including corrections. Additional changes with proofs will be charged at $16.50 GST inclusive, per proof. Please check original proofs fully to avoid extra charges.

5.2 The Customer must promptly notify OGV of any errors in the proofs or any published Advertising.

5.3 OGV does not accept responsibility for any errors in Advertising placed over the telephone.

6. Cancellation

6.1 Advertiser has the right to cancel or make changes to advert, provided that Publisher is given notice in writing at least 10 business days before the Material Deadline.

6.2 If Advertiser cancels one or more adverts, and such cancellation affects the rate basis on which the Advertiser is being charged, Advertiser is subject to retroactive billing at the insertion rate corresponding to the actual number of advertising insertions run.

8. Payment

8.1 OGV will provide the Customer with a tax invoice in a GST compliant form and the Customer must pay for Advertising by pre-payment, if so required by OGV, or if Advertising is on account, within 14 days after the date of the invoice.

8.3 The Customer must pay for print Advertising in accordance with the Advertising space ordered by the Customer. If the Customer fails to provide the copy or material for space that is booked, the Customer will still be charged unless a cancellation is approved by OGV.

8.4 The Customer must pay the full price for Advertising notwithstanding the fact that OGV has exercised its right to vary the format or placement of the Advertising; and any error or omission in the Advertising (unless the error or omission was the fault of OGV).

8.5 OGV reserves the right not to publish advertising if the account is more than 30 days in arrears. The onus of notification of the default does not reside with OGV.

9. Failure to Pay and other Breach

9.1 If a customer fails to pay for Advertising in accordance with clause 8, or if a Customer suffers an ‘Insolvent Event’ as defined in clause 9.2, OGV may (in its discretion and without limitation):

a) require cash pre-payment for further advertising;

b) take proceedings against the customer for any outstanding amounts;

c) recover from the Customer all costs relating to any action taken by OGV to recover amounts owing for advertising, including without limitation any mercantile agency costs and legal costs on a full indemnity basis;

d) cease publication of any further Advertising on behalf of the Customer and terminate any agreement in relation to Advertising not yet published; and

e) exercise any other rights at law.

9.2 A Customer suffers an ‘Insolvency Event’ if:

a) the Customer is a natural person and the Customer commits an act of bankruptcy;

b) the Customer is a body corporate and the Customer:

• cannot pay its debts as and when they fall due;

• enters an arrangement with creditors other than in the ordinary course of business;

• passes a resolution for administration, wind up or liquidation (other than for the purposes of re-organisation or reconstruction);

• has a receiver, manager, liquidator or administrator is appointed to any of its property or assets; or

• has had a petition presented for the winding up of the Customer.

9.3 OGV reserves the right to withhold any discounts or rebates if the Customer fails to comply with its payment obligations.

10. Liability

10.1 OGV limits its liability for any error or omission in published Advertising caused by OGV; at OGV’s option, to re-supply of the Advertising services affected by the breach, or payment of the cost of resupply.

10.2 Subject to clause 10.1, OGV excludes all other liability to the Customer for any costs, expenses, losses and damages suffered or incurred by the Customer in connection with these Terms and any Advertising published by OGV whether that liability arises in contract, tort (including by OGV’s negligence) or under statute. Without limitation, OGV will in no circumstances be liable for any indirect or consequential losses, including loss of profits, loss of revenue and loss of business opportunity.

10.3 The Customer indemnifies OGV and its officers, employees, contractors and agents (the ‘Indemnified’) against any costs, expenses, losses, damages and liability suffered or incurred by the Indemnified arising from the Customer’s breach of these Terms and any negligent or unlawful act or omission of the customer in connection with the Advertising.

11. Privacy

11.1 OGV collects a Customer’s personal information to provide Advertising services to the Customer and for invoicing purposes. OGV may disclose this personal information to credit reporting agencies and other third parties as part of provision of advertising services. Where a Customer has an overdue account, OGV may disclose personal information to debt collection agencies to recover the amount due.

11.2 Customers may gain access to their personal information by writing to the OGV at ads@oceangrovevoice.com or PO Box 54, Ocean Grove, 3226.

12. General

12.1 These Terms, together with any other written agreement between the Customer and OGV relating to these Terms, represent the entire agreement of the Customer and OGV in relation to Advertising and cannot be varied except in writing by an authorised officer of OGV. No purchase order or other document issued by the customer will vary these Terms.

12.2 OGV will not be liable for any delay or failure to publish Advertising caused by a factor outside OGV’s reasonable control (including but not limited to any Act of God, war, breakdown of plant, industrial dispute, electricity failure, governmental or legal restraint).

12.3 OGV may service any notice or court documents on a Customer by forwarding them by pre-paid post or facsimile to the last known address of the Customer.

12.4 These Terms are governed by the laws of the state of Victoria. Each party submits to the non-exclusive jurisdiction of the courts of Victoria.
